Companies House is Changing – Are You Ready?

The Economic Crime and Corporate Transparency Act 2023 introduces major reforms to combat financial crime and enhance corporate transparency in the UK.

These changes will have significant implications for social care providers, particularly those applying for Care Quality Commission (CQC) registration.

  1. Increased Scrutiny by Companies House
    • Companies House now has greater powers to investigate and reject documents containing incorrect or fraudulent information
    • Non-compliance can result in fines of up to £10,000, while individuals obstructing investigations may face up to two years’ imprisonment
  2. New Identity Verification Requirements
    • All directors and persons with significant control must undergo identity verification when incorporating a new company
    • Existing companies must comply within 12 months as part of their annual confirmation statement
    • This aims to prevent fraud by ensuring greater accuracy in company records

  • To legally operate, social care providers must be registered with the CQC
  • The registration process requires detailed and up-to-date information about the provider’s legal entity, including directors and persons with significant control
